Terms of Service

1. Acceptance of Terms

By accessing or using SHWDWN (the website at shwdwn.co and the SHWDWN mobile application, collectively the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Eligibility

You must be at least 16 years of age to use the Service. By creating an account, you represent that you meet this requirement and that all information you provide is accurate and complete.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use. SHWDWN is not liable for any loss resulting from unauthorised access to your account.

4. User Roles

The Service supports multiple user roles including fans, promoters, event staff, and fighters. Each role has different capabilities and responsibilities:

• Fans may browse events, purchase tickets, purchase PPV access, and watch live streams.
• Promoters may create and manage promotions, events, ticket types, live streams, and staff.
• Event staff may access event tools as permitted by the promotion they belong to.
• Fighters may manage their profile, share referral links, and track attributed sales.

5. Tickets and PPV Purchases

All ticket and PPV purchases are final. Refunds are only issued if the event promoter cancels the event or the promoter elects to issue refunds at their discretion. See our Refund Policy for full details.

Tickets and PPV access are non-transferable and are valid only for the account that made the purchase. Sharing, reselling, or redistributing access is prohibited and may result in revocation without refund.

6. Live Streaming

Live streaming access is provided on an as-available basis. SHWDWN does not guarantee uninterrupted or error-free streaming. Stream quality may vary depending on your device, network conditions, and other factors outside our control. Recording, redistributing, or rebroadcasting any stream content is strictly prohibited.

7. Payments and Payouts

Payments are processed by Stripe. By making a purchase, you also agree to Stripe's Terms of Service. Promoter payouts are made via Stripe Connect from the promotion's connected account and are subject to Stripe's payout schedules and terms.

Fighter payouts may be made either (a) via SHWDWN's auto-pay feature, where the fighter's share of attributed ticket sales is held by SHWDWN and released to the fighter's connected Stripe account when the promoter triggers payout; or (b) directly by the promoter, off-platform, on whatever terms the fighter and promoter have agreed. The promoter is 100% responsible for ensuring fighters are paid, in either case. Where auto-pay is disabled for an event, SHWDWN is not a party to fighter payments, does not hold any fighter share for that event, and bears no responsibility for whether, when, or in what amount fighters are paid. Fighters who believe they have not been paid should contact the promoter directly.

SHWDWN facilitates the transaction between fans and promoters. SHWDWN is not the seller of the tickets — the promotion is the seller.

8. Fighter Payouts and Recourse

Where the promoter has enabled auto-pay for an event, your share of attributed ticket sales is held by SHWDWN and released to your connected Stripe account when the promoter approves payout. Where auto-pay is disabled for an event, the promoter is responsible for paying you directly, off-platform, on whatever terms you have agreed with them.

SHWDWN is not the payer of record for any fighter share. SHWDWN has no obligation to guarantee, enforce, or chase fighter payment by the promoter, and is not liable for any non-payment, late payment, or disputed payment. SHWDWN may, at its sole discretion, attempt to mediate disputes between fighters and promoters, but such mediation is offered as a courtesy and creates no legal obligation on SHWDWN.

It is your responsibility to agree payment terms with the promoter before accepting a bout. Your acceptance of a bout is your acknowledgement of these terms.

9. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to any part of the Service
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or use automated means to access the Service without permission
• Impersonate another person or entity
• Upload malicious code or content
• Circumvent any access controls, DRM, or security measures
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, business logic, data models, or underlying technology of the Service
• Use the Service, or any data, content, designs, workflows, or features made available through the Service, to develop, train, benchmark, evaluate, or improve a product or service that competes with SHWDWN
• Create, maintain, or use an account on behalf of, or for the benefit of, a competitor of SHWDWN, or in order to conduct competitive intelligence, market research, or feature evaluation for the benefit of any third party
• Disclose, publish, or share screenshots, recordings, or descriptions of non-public, beta, preview, or promoter-only features, dashboards, or workflows without our prior written consent

10. Competitive Use and Confidential Features

SHWDWN's product, including its promoter dashboard, fighter portal, attribution systems, financial reporting, marketing tooling, and any pre-release, beta, preview, or limited-availability features, constitutes our confidential business information. Access to these features is granted on the express condition that you will not use them, directly or indirectly, to design, build, plan, market, or operate a product or service that competes with SHWDWN.

If we have a reasonable basis to believe an account is being used by, or for the benefit of, a competitor — including based on behavioural signals, prior or subsequent affiliation with a competing product, or pattern of evaluation activity — we may suspend or terminate the account and any associated promotions or fighter profiles without notice and without refund of any platform fees, and may seek injunctive relief and damages including reasonable legal costs.

11. Intellectual Property

The Service, including its design, features, and content (excluding user-generated content), is owned by SHWDWN and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

Promoters and fighters retain ownership of their own content (event details, images, profiles) but grant SHWDWN a non-exclusive licence to display and distribute that content through the Service.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. SHWDWN does not warrant that the Service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, SHWDWN shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, data, or profits. Our total liability for any claim shall not exceed the amount you paid to SHWDWN in the 12 months preceding the claim.

Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or death/personal injury caused by negligence.

14. Termination

We may suspend or terminate your account at any time for violation of these terms or for any other reason at our discretion. You may delete your account at any time via shwdwn.co/delete-account. Termination does not affect any rights or obligations accrued prior to termination.

15. Changes to Terms

We may update these Terms of Service at any time and at our sole discretion, with or without prior notice. The most current version will always be available at this URL, and the "Last updated" date at the top will reflect the effective date of any change. You are responsible for reviewing these Terms periodically to stay informed of any updates. Continued use of the Service after the "Last updated" date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
