Venue Partner Terms

SHWDWN Venue Partner Terms

Version 2026-09-13. Effective from the date you accept them.

These terms are between you (the venue operator named in your SHWDWN venue account, "you", "the venue") and SHWDWN Ltd ("SHWDWN", "we", "us"). They govern the Venue Partner Programme. By creating a venue account you accept them, together with the SHWDWN Promoter Terms & Conditions to the extent they apply to you.

1. Eligibility

1.1 You confirm that you own, operate, or are authorised to represent the venue named in your account, and that you are at least 18 and able to enter a binding agreement.

1.2 A venue account is for one physical venue. A group operating several venues opens one account per venue.

1.3 We may place a venue account under review, or make it inactive, at our discretion. We will tell you if we do and why.

2. The programme

2.1 Promoters sell tickets to their events on SHWDWN. Where an eligible event is held at your venue and its tickets are sold on SHWDWN, we pay you a venue share on each eligible paid ticket, as set out in section 3.

2.2 The venue share is paid by SHWDWN out of our own service fee. It is not charged to promoters, is not added to ticket prices, and does not change what a promoter receives.

2.3 Nothing in these terms obliges any promoter to use SHWDWN, obliges you to hire your venue to any promoter, or makes SHWDWN a party to any hire agreement between you and a promoter.

3. The venue share

3.1 For each eligible paid ticket to an eligible event at your venue, the venue share is:

  • £1.00 where the ticket price is £30.00 or more;
  • £0.50 where the ticket price is £10.00 to £29.99;
  • £0.00 where the ticket price is under £10.00.

3.2 "Ticket price" means the base price the promoter set for the ticket, as actually paid by the buyer after any discount, and before SHWDWN's booking fee.

3.3 An "eligible paid ticket" is an in-person admission ticket sold on SHWDWN and paid in full. The following are not eligible and earn no venue share: refunded tickets; tickets subject to a chargeback or dispute; complimentary, free and guest-list tickets; streaming and pay-per-view access; ticket upgrades and add-ons such as merchandise, parking or food; and any admission not sold through SHWDWN.

3.4 The venue share is paid on a limited number of eligible events per promotion at your venue, currently the first 5. Later events by the same promotion at your venue earn no venue share unless we agree otherwise in writing. There is no limit on the number of promotions. We may change this number under section 3.7.

3.5 An "eligible event" is an event held at your venue whose tickets are sold on SHWDWN and which we have linked to your venue account, excluding: events by a promotion that has a separate agreement with SHWDWN, including any sponsorship or profit-share arrangement; events on which we have agreed other terms with the promoter or with you; and events we reasonably determine were not held at your venue.

3.6 We decide eligibility. Your venue account shows each linked event as eligible or not, with the reason, and we will show this before the event takes place wherever we can. If you believe an event has been wrongly excluded, tell us and we will review it.

3.7 The rate in 3.1, the number of paid events in 3.4 and the eligibility rules in 3.3 and 3.5 are the current terms of the programme, not a fixed commitment. We may change any of them, or end the programme, on 30 days' written notice by email and in your venue account. A change applies only to events that take place after the notice period ends; venue share already earned on events that have taken place is unaffected. We may offer different terms to venues that join later.

4. Linking events to your venue

4.1 We link events to your venue account. We may do so on our own initiative, at a promoter's request, or at yours. You may ask us to link an event you believe took place at your venue, and we will link it where we can verify it.

4.2 An event can be linked to one venue only. Where two venues claim the same event, we decide based on the event's published venue and any evidence either of you provides.

4.3 We may unlink an event, or reverse a venue share, where it was linked in error, where the event was cancelled, or where the underlying sales are refunded, disputed or found to be fraudulent.

5. Payment

5.1 Payouts are arranged by a SHWDWN representative, who will contact you using the details in your account to agree how you are paid. We calculate the venue share for an event once the event has taken place and its sales are final, normally within 14 days of the event, and pay it by bank transfer to the account you give us, normally within 30 days of the event.

5.2 We may combine the venue share for several events into one payment, and may hold a payment until the amount owed reaches £20.

5.3 Amounts are stated and paid in pounds sterling. Where you are VAT-registered, the venue share is exclusive of VAT and you will provide a valid VAT invoice on request; where you are not, no VAT is added. You are responsible for the tax treatment of amounts you receive.

5.4 You are responsible for giving us accurate bank details and keeping them up to date. We are not liable for payments sent to details you supplied.

5.5 Your venue account is the record of what has been calculated and what has been paid. If you think a figure is wrong, tell us within 60 days of the payment; we will review it and correct genuine errors.

5.6 No interest is payable on late or disputed amounts.

6. Your referral link and conduct

6.1 We give you a referral link. When a promoter creates a SHWDWN account through it, we record that they came from your venue. This is for our records and yours; it does not by itself entitle you to any payment.

6.2 You may share your link with promoters and describe the programme accurately. You must not: present yourself as SHWDWN or as acting on our behalf; make promises about SHWDWN's service, fees or payments beyond what we publish; send unsolicited bulk messages; or offer promoters any inducement that is conditional on them using SHWDWN.

6.3 You must not make any promoter's hire of your venue, or its price, conditional on the promoter using or not using SHWDWN, unless that promoter has agreed to it in writing with you.

7. Information and confidentiality

7.1 Your venue account shows, for each linked event, the number of eligible tickets sold and the venue share earned. It does not show a promoter's ticket prices, revenue, buyer details or any other promoter information, and you have no right to that information under these terms.

7.2 Ticket counts and venue share figures in your account are confidential. You may use them to run your venue and to check what you are paid. You must not publish them, share them with a promoter's competitors, or use them to negotiate with a promoter in a way that relies on information the promoter has not shared with you.

7.3 We may use your venue's name, address and logo to identify it on SHWDWN, including on event pages for events held there and in a directory of partner venues. We will not otherwise use your name in marketing without asking.

7.4 We process personal data as described in our Privacy Policy. If you give us the details of a member of staff for your venue account, you confirm you are entitled to do so.

8. Venue account and members

8.1 Your venue account may have more than one member. Each member must have their own SHWDWN account and accept these terms. You are responsible for the members you ask us to add and for removing anyone who leaves.

8.2 A person may be a member of a venue account and also run a promotion on SHWDWN. In that case both the Promoter Terms and these terms apply to them, and the confidentiality obligations in each apply to information seen through the other.

9. Liability

9.1 Our total liability to you under or in connection with these terms in any 12-month period is limited to the venue share paid or payable to you in that period.

9.2 We are not liable for any loss of profit, business, or hire income, or for any indirect or consequential loss, or for any act or omission of a promoter.

9.3 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.

9.4 The programme is provided as is. We do not promise that any promoter will use SHWDWN, that any event will be held at your venue, or any level of venue share.

10. Changes to these terms

10.1 We may change these terms. We will give you at least 30 days' notice of any change that reduces what you are entitled to, by email and in your venue account. Continuing to keep your venue account open after the notice period is acceptance of the change. Changes to the rate, the number of paid events and eligibility are governed by 3.7.

10.2 We keep every version of these terms published, with its effective dates, so you can see what applied when.

11. Ending the agreement

11.1 Either of us may end this agreement at any time by email. Ending it does not affect any venue share already earned on events that have taken place, which we will still pay under section 5.

11.2 We may make your venue account inactive immediately if you breach section 6 or 7, if we reasonably believe your account is being used fraudulently, or if you no longer represent the venue.

11.3 On ending, we remove your venue from the partner directory and stop linking new events to it.

12. General

12.1 These terms, with the Promoter Terms and Privacy Policy where they apply, are the whole agreement between us about the programme. They do not create a partnership, agency or employment relationship.

12.2 You may not transfer this agreement without our written consent. We may transfer it to a successor of our business.

12.3 If any part of these terms is found unenforceable, the rest still applies.

12.4 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
