Promoter Terms & Conditions

SHWDWN Promoter Agreement

By creating a promotion on SHWDWN, you agree to the following terms. These terms are supplementary to and take precedence over the general Terms of Service where they conflict. You should also read our Privacy Policy and Refund Policy.

1. Eligibility

You must be at least 18 years of age to create a promotion on SHWDWN. By proceeding, you confirm that you are 18 or older and that all information you provide is accurate and complete. If you are creating a promotion on behalf of a business or organisation, you confirm that you have the authority to bind that entity to these terms.

2. Contact Data & Customer Information

All customer data collected through SHWDWN (including ticket purchaser contact details, email addresses, and purchase history) is owned and managed by SHWDWN. You may not export, scrape, or independently collect customer contact information obtained through the platform. SHWDWN may use this data for platform communications, marketing, and analytics in accordance with our Privacy Policy.

3. Content Rights

You grant SHWDWN a perpetual, worldwide, royalty-free, non-exclusive licence to use, reproduce, modify, distribute, and display all content you upload to the platform — including but not limited to event imagery, promotional materials, logos, and video content — for the purposes of marketing, promotion, and platform operation. This licence survives termination of your account. This clause supersedes the general content licence in the SHWDWN Terms of Service.

4. Event Access & Media Rights

SHWDWN and its authorised representatives (including videographers, photographers, and content creators) reserve the right to attend any event listed on the platform for the purpose of creating social media content, promotional material, and marketing assets. By listing an event on SHWDWN, you agree to provide reasonable access for this purpose. All media captured by SHWDWN at your events is owned by SHWDWN and may be used across any SHWDWN marketing channels.

5. Payment Processing & Stripe KYC

You are required to complete Stripe's Know Your Customer (KYC) identity verification before publishing events or processing ticket sales. SHWDWN uses Stripe Connect for all payment processing. Payouts go straight to your Stripe account and are paid directly to you. You agree to comply with Stripe's Terms of Service and provide accurate identity and business information. Failure to complete or maintain KYC compliance may result in suspension of your ability to publish events and process sales.

6. Fighter Payments

Where you enable SHWDWN's auto-pay feature for an event, fighter shares of attributed ticket sales are held by SHWDWN and released to fighters via Stripe Connect when you trigger payout. Where auto-pay is disabled, you are solely and 100% responsible for paying fighters directly, off-platform, on whatever terms you have agreed with them. SHWDWN is not a party to those payments, does not hold any fighter share for those events, and takes no responsibility for whether, when, or in what amount fighters are paid.

In either case — auto-pay enabled or disabled — you remain solely responsible for ensuring fighters are paid in accordance with the terms you have agreed with them. SHWDWN provides the auto-pay feature as a convenience; it does not transfer responsibility for fighter payment to SHWDWN. You agree to indemnify, defend, and hold SHWDWN harmless from any claim brought by a fighter, fighter representative, or third party relating to non-payment, late payment, incorrect payment, or disputed payment of any fighter share for any of your events.

7. Service Fees

SHWDWN applies a service fee to all paid ticket and PPV transactions. The current fee structure is displayed on the pricing page and within your dashboard. SHWDWN reserves the right to adjust service fees at any time. We will make reasonable efforts to notify promoters of fee changes in advance, and service fees will not be changed for an event that is already published unless you are specifically notified.

8. Event Cancellations & Refunds

If you cancel an event, you are responsible for ensuring affected ticket holders are refunded in accordance with the SHWDWN Refund Policy. SHWDWN may process automatic refunds on your behalf in the event of a cancellation.

9. Account Conduct

You agree not to use the platform for fraudulent, misleading, or illegal purposes. SHWDWN reserves the right to suspend or terminate promoter accounts that violate these terms, engage in fraudulent activity, or receive repeated customer complaints.

10. Platform Availability & Limitation of Liability

SHWDWN provides the platform on an "as is" and "as available" basis. We do not guarantee that ticketing, payment processing, live streaming, or any other platform feature will be uninterrupted, error-free, or available at all times. SHWDWN is not liable for any loss of revenue, ticket sales, or damages arising from platform downtime, payment processing failures (including Stripe outages), streaming interruptions, or any other technical issues. You acknowledge that third-party services (including Stripe and Cloudflare) are outside of SHWDWN's control.

To the maximum extent permitted by law, SHWDWN's total liability to you under these Promoter Terms shall not exceed the total service fees paid by you to SHWDWN in the 12 months preceding the claim. Nothing in these terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud or death/personal injury caused by negligence.

11. Indemnification

You agree to indemnify, defend, and hold harmless SHWDWN and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your events, including any injury, loss, or damage occurring at your events; (b) your breach of these terms; (c) your content uploaded to the platform; or (d) any dispute between you and a ticket purchaser.

12. Confidentiality and Competitive Use

The SHWDWN promoter portal — including but not limited to the dashboard, event editor, fight card management, ticketing tools, financial and payout reporting, attribution and tracked-link systems, marketing tools, buyer-journey analytics, fighter roster, and any feature marked as "beta", "preview", or otherwise made available to a limited group of promoters — constitutes SHWDWN's confidential business information. Your access is granted on the express condition set out in this section.

You agree that you will not, directly or indirectly:

  • use the promoter portal, or any data, designs, workflows, or features made available through it, to design, build, plan, market, or operate a product or service that competes with SHWDWN;
  • use, register, or maintain a promoter account on behalf of, or for the benefit of, a competitor of SHWDWN, or in order to conduct competitive intelligence, market research, or feature evaluation for the benefit of any third party;
  • disclose, publish, share, or reproduce screenshots, recordings, or descriptions of non-public, beta, preview, or promoter-only features, dashboards, or workflows without our prior written consent;
  • reverse engineer, decompile, or otherwise attempt to derive the source code, business logic, data models, or underlying technology of the promoter portal.

If we have a reasonable basis to believe a promoter account is being used by, or for the benefit of, a competitor — including based on behavioural signals, prior or subsequent affiliation with a competing product, or pattern of evaluation activity — we may suspend or terminate the account and any associated promotions or events immediately and without notice, withhold any platform fees, and seek injunctive relief and damages including reasonable legal costs. The obligations in this section survive termination of these Terms.

13. Dispute Resolution

Before bringing any legal claim against SHWDWN, you agree to first attempt to resolve the dispute informally by contacting us at support@shwdwn.co. You agree to allow at least 30 days for resolution before pursuing any formal proceedings. This does not prevent either party from seeking injunctive relief where necessary.

14. Changes to These Terms

SHWDWN reserves the right to update these Promoter Terms at any time and at our sole discretion, with or without prior notice. The most current version will always be available at this URL, and the "Last updated" date at the top will reflect the effective date of any change. Promoters are responsible for reviewing these Terms periodically to stay informed of any updates. Continued use of SHWDWN's promoter features after the "Last updated" date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using SHWDWN's promoter features and may terminate your promoter account.

15. Termination

Either party may terminate the promoter relationship at any time. Upon termination, your promotion will be deactivated and you will no longer be able to create events. Existing ticket sales and obligations remain in effect. The content licence granted in Section 3 and media rights in Section 4 survive termination.

16. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
